Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the VibeSonic macOS application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

2. Description of Service

VibeSonic is a standalone macOS productivity application that provides audio transcription and AI-powered features. The App operates primarily on your local device. Pro users can connect their own third-party API keys to access cloud-based AI services directly.

3. Eligibility

You must be at least 13 years of age to use VibeSonic. If you are under 18, you represent that you have your parent or guardian's permission to use the App. By using VibeSonic, you represent and warrant that you meet these eligibility requirements.

4. Software License

4.1 Standalone Application

VibeSonic is a standalone desktop application that does not require user account registration. The App runs entirely on your device and does not require an internet connection for core local transcription features.

4.2 License Key

Upon purchasing a Pro license, you will receive a license key that unlocks Pro features. You are responsible for keeping your license key secure. License keys may be used on a limited number of devices as specified in your purchase.

5. Licensing and Payment

5.1 License Tiers

VibeSonic offers a free tier with local transcription capabilities and a paid Pro license. The Pro license is a one-time purchase that unlocks additional features, including the ability to use your own third-party API keys for cloud-based AI services.

5.2 Payment

Payments are processed through our authorised payment providers (such as LemonSqueezy, Gumroad, or other payment gateways). You agree to their respective terms and conditions regarding billing and payment processing.

5.3 Refunds

Refund requests are handled in accordance with the refund policy of the payment provider used for your purchase. Please contact us at team@vibesonic.ai for refund inquiries.

6. User Content and Conduct

6.1 Ownership

You retain all rights to the audio recordings, transcriptions, notes, and other content you create (“User Content”). All User Content is stored locally on your device.

6.2 Recording Consent

You are solely responsible for ensuring you have the legal right to record and transcribe any audio content. Many jurisdictions require the consent of all parties being recorded. You agree to comply with all applicable laws regarding recording consent, wiretapping, and privacy in your jurisdiction.

6.3 Third-Party API Usage

Pro users may configure their own API keys to connect directly to third-party AI services (e.g., OpenAI, Groq). When using these services, your data is transmitted directly from your device to the third-party provider under their terms of service. We do not process or store this data.

6.4 Prohibited Use

You agree not to use the App to:

  • Transcribe or record conversations without the consent of all parties, where required by law.
  • Process illegal, harmful, or abusive content.
  • Reverse engineer or attempt to extract the source code of the App.
  • Share, distribute, or resell your license key.

7. AI Services and Accuracy

7.1 AI Limitations and No Warranty of Accuracy

The App uses AI technology to generate transcriptions and text. AI is not perfect and may produce errors, inaccuracies, omissions, or “hallucinations.” Transcriptions may contain mistakes, mishear words, miss portions of audio, or produce incorrect text. We make no warranty as to the accuracy, completeness, or reliability of any transcription or AI-generated content.

7.2 No Reliance

You should not rely on the App for critical advice (medical, legal, financial, etc.) or for any purpose where accuracy is essential. Always verify the accuracy of transcriptions and generated content before use. You are solely responsible for reviewing and verifying all output.

7.3 Third-Party AI Services

When using your own API keys with third-party AI providers:

  • Your data is transmitted directly to the third-party provider from your device
  • Data handling is governed by the third-party provider's terms and privacy policy
  • You are responsible for understanding and accepting the third-party's data practices
  • You can use local-only transcription at any time to avoid external data transmission

8. Third-Party API Costs and Responsibility

8.1 Your Responsibility for API Costs

When using the Bring Your Own Key (BYOK) feature, you are solely and exclusively responsible for all costs, charges, and fees incurred on your third-party API accounts (e.g., OpenAI, Groq, or other providers). This includes, but is not limited to, charges resulting from:

  • Normal usage of transcription and AI features
  • Extended or repeated API calls
  • Software bugs, errors, or unexpected behaviour
  • Network issues causing retried requests
  • Any other usage, whether intended or unintended

8.2 No Liability for Third-Party Charges

NORTHBASE LTD IS NOT LIABLE FOR ANY COSTS, CHARGES, OR FEES INCURRED ON YOUR THIRD-PARTY API ACCOUNTS, REGARDLESS OF THE CAUSE. THIS INCLUDES CHARGES RESULTING FROM SOFTWARE BUGS, ERRORS, MALFUNCTIONS, OR ANY OTHER ISSUE WITH THE APP.

8.3 Recommended Precautions

We strongly recommend that you:

  • Set usage limits and spending caps with your API providers
  • Regularly monitor your API usage and billing
  • Use API keys with restricted permissions where possible
  • Start with local processing to understand your usage patterns before enabling cloud features

8.4 Third-Party Service Availability

We have no control over and are not responsible for the availability, performance, or policies of third-party AI providers. Service outages, rate limits, API changes, or policy changes by third-party providers are beyond our control.

9. Local and Cloud Processing

9.1 Local Processing

VibeSonic offers powerful local transcription that:

  • Processes audio entirely on your device
  • Requires no internet connection
  • Never transmits your audio data externally
  • Is available to all users regardless of license tier

9.2 Cloud Processing (Pro - Bring Your Own Key)

Pro users can configure their own API keys to access cloud AI services:

  • You connect directly to third-party providers using your own credentials
  • VibeSonic does not proxy, store, or process your cloud data
  • Usage and billing are handled directly between you and the third-party provider
  • You can switch between local and cloud processing at any time

10. Software License Agreement

Your use of the VibeSonic software is governed by the Software License Agreement included with the application. This license contains important terms regarding intellectual property, permitted use, restrictions, and third-party components. By downloading and using VibeSonic, you agree to the terms of that license agreement.

11. Data Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

12. Indemnification

You agree to indemnify, defend, and hold harmless Northbase Ltd, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights, including recording consent laws
  • Your use of third-party AI services through the BYOK feature
  • Any claim that your use of the App caused damage to a third party
  • Disputes between you and any third-party API provider regarding charges, services, or data handling

13. Termination

We reserve the right to revoke license keys at our sole discretion for conduct that we believe violates these Terms, including but not limited to license key sharing or abuse. Revoked licenses are not eligible for refunds.

14. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF BUGS OR DEFECTS. WE DO NOT WARRANT THE ACCURACY OF ANY TRANSCRIPTION OR AI-GENERATED CONTENT.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NORTHBASE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL.

THIS INCLUDES, WITHOUT LIMITATION, LIABILITY FOR:

  • COSTS OR CHARGES INCURRED ON YOUR THIRD-PARTY API ACCOUNTS
  • ERRORS, INACCURACIES, OR OMISSIONS IN TRANSCRIPTIONS OR AI-GENERATED CONTENT
  • DECISIONS MADE BASED ON TRANSCRIPTIONS OR AI-GENERATED CONTENT
  • SOFTWARE BUGS, ERRORS, OR MALFUNCTIONS
  • LOSS OF DATA OR CONTENT
  • THIRD-PARTY SERVICE OUTAGES OR FAILURES
  • CLAIMS ARISING FROM YOUR RECORDINGS OR USE OF THE APP

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Software License Agreement, constitute the entire agreement between you and Northbase Ltd regarding your use of the App and supersede all prior agreements and understandings.

19. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes through our website or via email if you have provided one. Your continued use of the App after such changes constitutes your acceptance of the new Terms.
